This website presents the activity, services and previous work of Clear Ascend OÜ and offers a channel through which to contact us. It does not sell products online, does not process payments and does not host user accounts.

The contact form on this site does not transmit data to us or to any third party by itself: it assembles a message and opens it in the visitor's own email application, which the visitor then chooses to send or discard.

Clear Ascend OÜ is registered as a business and management consultancy (EMTAK 70201). This matters, and we state it plainly:

• We are not a law firm and do not provide legal representation.
• We are not a licensed tax representative, statutory auditor or accounting firm subject to professional licensing.
• We are not a credit institution, payment institution, e-money issuer, investment firm or insurance intermediary, and we hold no financial licence of any kind. We do not take deposits, hold client funds or provide investment advice.

Where a matter requires a regulated professional, we say so and coordinate with someone who holds the relevant licence. Nothing on this website constitutes legal, tax, accounting, investment or insurance advice, and no professional relationship arises from reading it.

Access to this website is free and does not require registration. Given our size and the nature of our processing, we are not required to appoint a Data Protection Officer and have not appointed one. Enquiries are handled at the address above.

We keep this deliberately short, because there is not much of it.

a) Data you send us yourself

When you write to us by email, WhatsApp or telephone, we process the identifying and contact details you include (typically name, email address, telephone number, company) and the content of your message. If you use the form on the contact page, it composes that message in your own email client — the data reaches us only when you press send in your own application.

b) Data generated by browsing

Our hosting provider records standard technical access logs (IP address, date and time, page requested, browser and operating system, referring page). These logs exist to keep the service running and secure, and are handled by the provider on our behalf.

c) Data stored on your device

This site stores one preference — the language you chose — in your browser's local storage. It never leaves your device and we cannot read it. See the cookie policy for detail.

d) Data of clients and suppliers

If we go on to work together, we process the data necessary to perform the contract and to comply with our accounting and tax obligations: billing details, correspondence, and the documentation required by the engagement.

We do not use analytics, advertising or profiling tools on this website, we do not buy contact lists, and we do not process special categories of data (health, beliefs, biometrics and similar). Please do not send us such data.

We do not take decisions producing legal effects about you by automated means, and we do not carry out profiling.

• Enquiries that do not lead to a contract: up to 12 months from the last exchange, then deleted.
• Client records and correspondence: for the duration of the relationship and, thereafter, for the period during which claims may still be brought.
• Accounting and invoicing documents: seven years, as required by the Estonian Accounting Act.
• Server access logs: for the short technical retention period applied by our hosting provider.

Once those periods expire the data is deleted or irreversibly anonymised.

We do not sell personal data and we do not share it for third-party marketing. Access is limited to:

• Our hosting and email providers, acting as processors under a contract that meets Article 28 GDPR.
• Our accountants and, where applicable, legal advisers, bound by professional confidentiality.
• Public authorities, where we are legally obliged to disclose.

A current list of the processors we use is available on request at the contact address above.

Our infrastructure is contracted with providers that store data within the European Economic Area. Where a provider processes data outside the EEA, we rely on an adequacy decision of the European Commission or on Standard Contractual Clauses together with the additional safeguards required, and you may request a copy of the relevant mechanism.

Under the GDPR you have the right to:

• Access — obtain confirmation of whether we process your data, and a copy of it.
• Rectification — have inaccurate or incomplete data corrected.
• Erasure — have your data deleted, where no legal obligation requires us to keep it.
• Restriction — have processing limited while a dispute over accuracy or lawfulness is resolved.
• Portability — receive the data you provided in a structured, machine-readable format.
• Objection — object to processing based on our legitimate interest, including direct marketing, which we will stop immediately.
• Withdraw consent at any time, where processing was based on consent, without affecting what was done before.

To exercise any of these, write to Show email with the subject Data protection, stating which right you wish to exercise. We may ask for reasonable proof of identity. We reply within one month, extendable by two further months for complex requests, in which case we will tell you within the first month.

If you believe we have handled your data incorrectly, we would prefer you tell us first — most problems are a misunderstanding and are fixed the same week. You are, in any event, entitled to lodge a complaint with the Estonian supervisory authority:

You may also complain to the supervisory authority of the EU country where you live or work.

We apply technical and organisational measures appropriate to the risk: encrypted transport (HTTPS), access limited to those who need it, multi-factor authentication on our own accounts, and providers who commit to equivalent standards. No system is absolutely secure, but if a breach occurs that is likely to result in a high risk to your rights, we will notify you and the supervisory authority within the deadlines set by the GDPR.

Our services are aimed at businesses and at adults. We do not knowingly process data of persons under 18. If you believe a minor has sent us personal data, write to us and we will delete it.

We will update this policy when our processing or the applicable law changes. The date of the version in force is shown at the top of this page. Substantial changes affecting existing clients will be notified by email.

This website does not use advertising, analytics or tracking cookies. It sets no third-party cookies of any kind. It stores exactly one thing on your device: the language you selected, so the site opens in that language next time.

That single item is strictly necessary to provide a service you explicitly requested, which is why you are not being interrupted by a consent banner. We would rather explain this once, here, than ask you to click something on every visit that changes nothing.

It contains a two-letter language code and nothing else. It carries no identifier, is never transmitted to our servers, and cannot be read by us or by anyone else.

• No Google Analytics or any other analytics platform.
• No advertising, remarketing or conversion pixels.
• No social network widgets or embedded trackers.
• No externally hosted fonts. Typefaces are the ones already on your device, which means no request — and therefore no IP address — is sent to a third party when you load a page.

You can delete this preference at any time from your browser settings, under site data or storage for this domain. Doing so has one consequence: the site will open in its default language until you choose again. Nothing else on the site depends on it.

Every major browser also lets you block storage entirely for a site. This site continues to work normally with storage blocked.

If we later add a tool that does require cookies — a traffic analytics package, an embedded map or video, a chat widget — we will publish it in the table above and ask for your consent before it loads, with refusing as easy as accepting. Until this page says otherwise, there is nothing of the sort on the site.

These terms govern the provision of advisory, outsourcing and software development services by Clear Ascend OÜ (registry code 17448615, Keskpuiestee 44-49, 43122 Kiviõli, Lüganuse vald, Ida-Viru maakond, Estonia), referred to here as "we" or "the Provider", to its clients ("the Client").

They apply to every engagement unless a signed contract between the parties says otherwise, in which case that contract prevails on the points it covers and these terms fill the remaining gaps.

Every engagement begins with a written proposal setting out the scope, the deliverables, the price, the payment schedule and the timeline. Proposals are valid for 30 calendar days unless stated otherwise.

The contract is formed when the Client accepts the proposal in writing — including by email — or pays the first invoice. Anything outside the scope described in the proposal is not included and is quoted separately before it is carried out.

• Prices are quoted in euros and are fixed for the scope described. If the scope changes, we requote before continuing.
• Our fees do not currently include VAT, as no VAT identification number has been assigned to us at the date of publication. Should that change, applicable taxes will be shown separately on each invoice.
• Unless the proposal says otherwise, invoices are payable within 14 calendar days of issue.
• Projects above a certain size are invoiced against milestones, with an advance before work starts.
• Late payment accrues statutory interest and entitles us to suspend the service after written notice. For business clients, the statutory regime on late payment in commercial transactions applies.

Our work depends on inputs only the Client has. The Client agrees to provide accurate and complete information, to supply necessary access and credentials in good time, and to designate a person able to make decisions and give approvals.

Delays or extra work caused by information that is late, incomplete or incorrect may shift the timeline and, where they generate significant additional work, be charged separately after written notice.

On full payment of the agreed price, the Client acquires ownership of the specific deliverables produced for them — source code written for the project, documents, designs and configurations — together with the right to use, modify and exploit them without limitation of time or territory.

Excluded from that transfer: our pre-existing know-how, internal tools, libraries and reusable components, over which the Client receives a perpetual, non-exclusive, worldwide licence to use them as incorporated into the deliverable.

Deliverables may include third-party components (open-source libraries, external services). These remain subject to their own licences and to the terms of their providers, which we identify on request.

Domains, hosting accounts, repositories and third-party service accounts are registered in the Client's name wherever possible. Where we hold something on the Client's behalf, it is handed over on request without charge.

Each party undertakes to keep confidential the non-public information it receives from the other, to use it solely for the purposes of the engagement, and to protect it with at least the care it applies to its own confidential information. This obligation survives the end of the contract for five years, and indefinitely for information that constitutes a trade secret.

It does not cover information that is public through no breach, was already lawfully held, is independently developed, or must be disclosed by law or by order of a competent authority — in which case the other party is told in advance where that is lawful.

Unless the Client objects in writing, we may state that we have worked for them and show non-confidential results of the work in our portfolio.

Where the provision of the services involves processing personal data on the Client's behalf, the Client acts as controller and we act as processor. In that case the parties enter into a data processing agreement meeting Article 28 GDPR before processing begins, covering subject matter, duration, purpose, categories of data, security measures, sub-processors and the fate of the data at the end of the contract.

We provide business and management consultancy. Our advice is based on the information supplied by the Client and on the framework in force when it is given.

We do not provide legal representation, statutory audit, licensed tax representation, investment advice or insurance mediation, and we hold no licence in those fields. Where a matter requires a regulated professional, we say so; the Client remains responsible for obtaining that advice and for the decisions it takes.

We give no warranty as to commercial results, savings, rankings, traffic or revenue, since those depend on factors outside our control.

For software development, we correct free of charge any defect attributable to us — a deliverable that does not behave as the accepted specification says it should — reported within 60 calendar days of delivery.

The warranty does not cover changes of scope, faults caused by modifications made by third parties, failures of external services, changes in the Client's environment, or use contrary to the documentation supplied.

We are liable for damage caused by breach of our obligations in accordance with the law. Our aggregate liability arising from an engagement is limited to the total amount invoiced and paid for that engagement in the twelve months preceding the event giving rise to the claim.

We are not liable for indirect or consequential loss, loss of profit, loss of business opportunity, or loss of data where the Client has not maintained the backups reasonably to be expected.

None of the above limits our liability for intent or gross negligence, for death or personal injury, or in any other case in which limitation is prohibited by mandatory law — including, where the Client is a consumer, the mandatory guarantees afforded by consumer protection legislation.

Project engagements end when the deliverables are handed over and paid for. Recurring services run monthly and renew automatically unless either party gives 30 days' written notice.

Either party may terminate immediately for material breach by the other that is not cured within 15 days of written notice. On termination the Client pays for the work performed up to that date, and we hand over the work in progress and any material belonging to the Client.

Neither party is liable for failure to perform caused by events beyond its reasonable control — including failure of essential third-party infrastructure, network outages, natural disasters or acts of authority. The affected party notifies the other without delay and both work to limit the impact. If the situation lasts more than 60 days, either party may terminate without penalty.

This clause applies only where the Client is a consumer — a natural person acting outside their trade, business or profession — contracting at a distance.

You may withdraw from the contract within 14 calendar days from its conclusion, without giving any reason. To do so, tell us by an unequivocal statement sent to Show email. We will refund all payments received within 14 days of being informed.

Two things to be aware of, because they are the ones that catch people out:

• If you expressly ask us to begin providing the service during the withdrawal period and you then withdraw, you owe us an amount proportionate to what has been provided up to that point.
• You lose the right of withdrawal once the service has been fully performed, provided performance began with your express prior consent and with your acknowledgement that you would lose that right on completion.

Complaints are sent to Show email and are acknowledged within 5 working days and answered within 15.

Where the Client is a consumer and the matter is not resolved directly, it may be referred to the Estonian Consumer Disputes Committee:

Consumers resident in another EU Member State may also approach the European Consumer Centre in their own country.

Neither party may assign the contract without the other's written consent, save to a company of the same group with prior notice. If any clause is held invalid, the remainder stays in force and the invalid clause is replaced by one closest to its intended effect. Failure to enforce a right is not a waiver of it. Notices are valid by email to the addresses designated by the parties.

These terms are governed by the law of the Republic of Estonia, excluding its conflict-of-law rules and the United Nations Convention on Contracts for the International Sale of Goods.

For business clients, the courts of Estonia have exclusive jurisdiction. Where the Client is a consumer, this choice does not deprive them of the protection of the mandatory rules of their country of habitual residence, and they may bring proceedings before the courts of that country.
